Katie SCHOULTZ

katieKatie Schoultz has lived and worked as a lawyer in Prague since 2001, practicing as an English solicitor, New York attorney and licensed Czech foreign advocate in one of the major international firms until the year 2007. Prior to that, she practiced for 4 years as a solicitor in London, and for 2 years as an attorney at a leading New York firm.

During that time, Ms. Schoultz has advised as lead attorney on various international real estate investment and development projects, asset management and leasing, joint ventures, M&A deals, private equity transactions, acquisition and development financing, regulatory compliance, international arbitration and various other forms of commercial law transactions. Ms. Schoultz’ particular area of expertise is in structuring and managing share and asset deals for western investors in the CEE region, with an emphasis on cross-border share and asset deals. In the field of real estate, she mainly advises funds on their investments, including acquisition, development, leasing and post-acquisition asset management, covering the entire CEE region.

Ms. Schoultz is currently advising on a number of real estate acquisition and development projects, including multi-party joint ventures, on behalf of top-tier international clients active in the region. Working out of Prague, she has managed and concluded projects in Hungary, Poland, Slovakia, Bulgaria and Romania, as well the Czech Republic.

Deal sizes have typically ranged between EUR 25 million and 150 million.

Her expertise in the field of real estate starts with the initial deal structuring in co-operation with tax advisors in order to achieve optimum investment returns; and then the management of due diligence teams and the preparation of full and summary-form real estate due diligence reports, in cooperation with tried and trusted locally-qualified lawyers in a range of jurisdictions. On the sell-side, Ms. Schoultz has experience in private tender management, parallel negotiations and the preparation of data rooms (physical and remote access). For both the sell- and buy-side, she has extensive experience in drafting and negotiating acquisition agreements for both asset and share (SPV) deals, and all ancillary transactional documentation, including acquisition and development financing, shareholder loans, joint venture and other types of shareholder agreements, construction documentation, architect’s agreements and asset management arrangements.
