We assist clients with all aspects of financing transactions, including due diligence investigations, structuring, preparation and negotiation of the financing documentation, assistance with closing and post-closing matters and with all related corporate, commercial and regulatory aspects. We manage each transaction to ensure that even the most sophisticated deals are completed in the shortest possible period of time, efficiently, and in a cost-effective manner. Our services in the area of lending include structuring, preparing and negotiating syndicated and club loans, both secured and unsecured, and governed by Czech or English law. We have extensive experience and knowledge of LMA documentation as well as documentation used by various financial institutions on the Czech market. In the area of acquisition finance, we advise on the financing of acquisitions, leveraged buyouts, joint ventures and leveraged private equity investments, and on developing the structure of acquisitions and the financing involved in such transactions, such as senior debt, subordinated debt, mezzanine debt, etc. In the area of project financing we conduct cost-effective and targeted due diligence to assess risks and financing issues arising from the project. We analyze property, security, and other issues that arise in trying to close a successful bid. We advise lenders in negotiating financing agreements that balance borrower needs with market standards and syndication considerations. We also provide legal counseling in relation to development financing for real estate projects, as well as acquisitions in the real estate sector. We advise clients in connection with investments in, and the financing of, a broad spectrum of real estate asset classes, including office properties, shopping centres, industrial parks, residential and mixed-use properties. In the area of specialized financing transactions we have advised on structuring of off-balance sheet financing, securitization of loan portfolio and leased assets, and derivative transactions, including ISDA agreements. |
